Proprietary Software License Agreement

STRICT LIABILITY

1 Ownership & Intellectual Property

This software, including its source code, design, algorithms, and user interface, is the exclusive intellectual property of Rehan Sandhi. Title remains with the Licensor.

2 Grant of License

The Licensor grants a NON-EXCLUSIVE, NON-TRANSFERABLE license for a single domain/project only.

You cannot sell, rent, or lease this Software.
License can be revoked immediately if terms are violated.

3 Strict Prohibitions (Zero Tolerance)

The following actions constitute a material breach:

Modifying Credits: Removing or altering "Created by Rehan Sandhi" notices.
Unauthorized Distribution: Selling source code to third parties.
Reverse Engineering: Decompiling code for use in other projects.

4 Termination & Enforcement

Violation of terms leads to automatic termination. Licensor reserves the right to use technical measures (kill-switch) for enforcement.

5 Governing Law & Jurisdiction

Governing Law: This Agreement and any dispute or claim arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the laws of India.
Exclusive Jurisdiction: Any legal suit, action, or proceeding arising out of, or related to, this License Agreement shall be instituted exclusively in the courts of Rajkot, Gujarat, India.
Waiver of Objection: The Licensee irrevocably waives any objection to the venue of any such suit or proceeding in such courts and irrevocably submits to the exclusive jurisdiction of such courts.
Legal Fees Recovery: In the event of any litigation or legal action taken by the Licensor (Rehan Sandhi) to enforce the terms of this Agreement, the Licensee shall be liable to pay all legal costs, attorney fees, and associated damages incurred by the Licensor.
Severability: If any provision of this Jurisdiction clause or the Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

6 No Warranty

THE SOFTWARE IS PROVIDED "AS IS". THE LICENSOR IS NOT LIABLE FOR ANY DATA LOSS OR DAMAGES.
